TableKit Template Commercial License

1060 PK Amsterdam ("Licensor")
Licensee: the person or entity that purchased a license ("you")

1. Definitions

"Template" means the TableKit source code, assets, documentation and any
updates the Licensor provides with it.

"End Product" means a single application, website or project that you build
with the Template and that is used by you or by one client. Each separate
deployment for a different business, brand or client is a separate End
Product. Staging, test and development copies of the same End Product do not
count as separate End Products.

2. License tiers

Your rights depend on the tier you purchased:

a) Single: you may use the Template to create 1 (one) End Product.

b) Agency: you may use the Template to create an unlimited number of End
   Products for yourself and for your clients.

c) Launch: the same rights as the Single tier, granted at the launch price.
   The Launch tier does not grant any rights beyond those of the Single tier.

3. What you may do

Within your tier you may:

- use, copy and modify the Template, and combine it with other code;
- deploy and operate End Products, including commercially, and charge your
  own customers for access to them;
- transfer an End Product (including its source code) to the single client it
  was built for, provided that client uses it only as that End Product;
- rebrand your End Products (change the name, logos, colours, copy and other
  branding) and sell or operate them under your own or your client's brand.

Rebranding an End Product does not permit you to resell or redistribute the
Template itself; the restrictions in section 4 continue to apply.

4. What you may not do

You may not:

- resell, sublicense, share, publish or otherwise redistribute the Template,
  or any modified version of it, as a template, starter kit, boilerplate, theme,
  code library or any other product whose main value is the source code itself;
- make the Template source code publicly available (for example in a public
  repository), except as compiled or bundled code served by an End Product;
- use the Template to create more End Products than your tier allows;
- remove or misrepresent this license or the Licensor's ownership of the
  Template.

5. Ownership

The Licensor keeps all intellectual property rights in the Template. You own
the modifications you make and the content of your End Products, but not the
underlying Template. This license grants you a non-exclusive,
non-transferable right to use the Template as described above; it does not
transfer ownership.

6. Third-party components

The Template includes open-source packages that are licensed under their own
terms. Those terms apply to those packages, and this license does not limit
the rights they grant you.

7. Termination

This license ends automatically if you breach it. On termination you must
stop creating new End Products and delete your copies of the Template that
are not part of an End Product built in compliance with this license.

8. No warranty

THE TEMPLATE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. You are responsible for
your End Products, including their security, data protection, legal pages and
compliance with the laws that apply to you and your customers.

9. Limitation of liability

To the maximum extent permitted by law, the Licensor's total liability arising
out of or in connection with the Template or this license is limited to the
amount you paid for your license. The Licensor is not liable for indirect,
incidental, special or consequential damages, including lost profits, lost
revenue or lost data.

10. Governing law

This license is governed by the laws of the Netherlands. Disputes are
submitted to the competent court in the Netherlands, unless mandatory law
provides otherwise.
